SpaceX to Acquire AI Coding Startup Cursor in $60 Billion All-Stock Deal

SpaceX announced Tuesday that it has entered a definitive agreement to acquire artificial intelligence coding startup Cursor in a $60 billion all-stock transaction, marking one of the largest tech deals in recent years.
The acquisition underscores SpaceX’s growing push into artificial intelligence as it seeks to strengthen its position against competitors such as Anthropic and OpenAI, both of which dominate the rapidly expanding AI coding tools market.
Cursor’s rapid rise in AI coding

Cursor, developed by parent company Anysphere, has become one of the most widely used AI-powered coding assistants since its launch in 2022. The platform helps software developers generate, edit, and review code using generative AI tools.
The startup reported more than $1 billion in annualized revenue last year and quickly rose in prominence within the AI ecosystem. It was also ranked on the CNBC Disruptor 50 list in 2026.
Deal structure and valuation impact

According to filings, SpaceX will pay $60 billion in Class A stock for the acquisition. The transaction is expected to dilute existing shareholders by approximately 3.4% based on the company’s recent valuation.
SpaceX said it expects the deal to close in the third quarter of this year, pending regulatory approval.
Strategic AI expansion for SpaceX

The acquisition is seen as a major step in SpaceX’s broader AI strategy. The company has increasingly invested in artificial intelligence capabilities across its aerospace and software operations, including earlier integration efforts with Elon Musk’s AI venture xAI.

SpaceX president Gwynne Shotwell has previously described the partnership as a strong strategic fit, highlighting its potential to accelerate frontier AI development.

Following the announcement, SpaceX shares climbed sharply, pushing the company’s valuation higher and strengthening its position among the most valuable US technology firms.
However, analysts note that competition in AI coding tools is intensifying, with market share increasingly concentrated among a small number of major players.
Cursor’s share of the AI coding market has reportedly declined in recent months as rivals expand their presence.
