Tata Trusts Begin Tata Sons Succession Process, Respect N Chandrasekaran’s Decision To Step Down

As part of the crucial scheduled board meet of Tata Trusts (which now came just a day after N Chandrasekaran’s decision not to seek reappointment as Chairman of Tata Sons), the Trust has issued a detailed statement respecting N Chandrasekaran’s decision as well as preparing a succession process for the new Chairman and stated the following:
“On 12th August 2026, our nominee directors received an email from Mr. N Chandrasekaran, Chairman, Tata Sons Private Limited, wherein he conveyed his decision to not offer himself for re-appointment as Chairman upon the expiry of his current tenure on 20th February 2027. The Sir Dorabji Tata Trust (SDTT) respects Mr. Chandrasekaran’s decision not to offer himself for reappointment. We place on record our deepest appreciation for his contribution and stewardship of Tata Sons and the Tata group over the past decade. We thank him for his immense contribution during a period of significant change, growth and transformation across the Group. The Trustees of the Sir Dorabji Tata Trust have passed a resolution to initiate the setting up of a Selection Committee as soon as possible in accordance with the Articles of Association of Tata Sons, for the purpose of recommending a person for appointment as the new Chairman of the Board of Directors. We extend our full support to Tata Sons in ensuring a smooth, timely and orderly transition of leadership, consistent with the values and long-term interests of Tata Sons and the Tata Group.”
On August 11, 2026 N Chandrasekaran had announced his decision to exit Tata Sons after his current tenure ends on 20th February, 2027 and not seek reappointment. He stated the following:
“I have completed 40 years of professional life at the Tata Group. I am grateful for the immensely satisfying opportunity to contribute to this venerable institution. Leading Tata Sons over the past decade has been a great honour and a profound responsibility. My current tenure as the Chairman of Tata Sons comes to an end on Feb 20, 2027. Sir Dorabji Tata Trust and Sir Ratan Tata Trust had unanimously resolved and recommended the extension of my next term for a period of five years, which was recorded and recommended by the Tata Sons Nomination and Remuneration Committee and the Board. Subsequently, the resolution was tabled in the Tata Sons Board on Feb 24, 2026. However, the proposal was not carried through because one of the Board Members did not support it, and in the absence of unanimous support, I chose to defer the decision. It has been 6 months since that Board meeting, and no resolution has been reached till date. Tata Sons is a very large institution and there are many strategic projects that are under critical stages of execution. It is not only necessary to have a leader in place to lead the Group beyond Feb 2027, but also clarity on leadership is important for employees, investors, partners and other stakeholders. Under these circumstances, earlier today, I have communicated to the Tata Sons Board, that I have decided not to offer myself for reappointment when my term ends on Feb 20, 2027. I have asked the Board to decide on the succession soon to ensure a proper transition. I am grateful for the support of all stakeholders.”
